These Terms and Conditions ("Terms") govern your use of the website of IBC LLC and any communication with or service received from IBC LLC ("IBC LLC", "we", "us", "our"). By accessing this website, submitting an enquiry, or contacting us by email, telephone or WhatsApp, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use this website or our services.

IBC LLC introduces prospective buyers to independent third-party property developers in Dubai and the United Arab Emirates. Our service consists solely of: (a) providing general information about the UAE property market; (b) shortlisting developer projects based on the budget, location and purpose you tell us; (c) introducing you to the developer(s) you select; and (d) at your request, coordinating communications between you and the developer up to handover.

IBC LLC is not a real estate agency, real estate broker, salesperson, property manager, bank, lender, mortgage provider, escrow agent, investment adviser, financial adviser, tax adviser, immigration adviser, law firm or fiduciary in any jurisdiction, and is not licensed or registered as any of these. We do not list, market, advertise, sell, lease, own or hold property. We do not hold, handle, receive or transmit client funds. We do not negotiate on behalf of you or the developer. We do not owe you any fiduciary, advisory or agency duty.

Nothing on this website or in any communication from us constitutes: an offer to sell or a solicitation to buy real estate, securities or any financial product; an offer in any jurisdiction in which such an offer would be unlawful; or legal, financial, investment, tax, immigration or other professional advice. You must obtain your own independent professional advice before making any decision.

All information on this website and in our communications is general in nature. It is sourced from developers, public authorities and publicly available data, is believed to be accurate at the time of publication, but is not independently verified by us and may change without notice. Prices, payment plans, availability, completion dates, specifications, floor plans, service charges, government fees, rental yields, tax treatment and visa rules are indicative only and are determined solely by the developer and by UAE federal and emirate authorities. Currency conversions are approximate. You must verify all information directly with the developer and with your own advisers before relying on it. We accept no responsibility for any decision made in reliance on information provided by us.

Any reference to rental yields, capital appreciation, "projected growth", market conditions, tax advantages or investment potential is illustrative, based on historical or third-party data, and is not a promise, forecast or guarantee. Property values can fall as well as rise. Rental income is not guaranteed and depends on market conditions, occupancy and costs. Off-plan property carries specific risks including construction delay, cancellation, changes in specification, developer insolvency and differences between marketing materials and the completed unit. Past performance is not an indicator of future results. Tax laws in the UAE and in your country of residence may change, and you may have tax and reporting obligations at home in respect of UAE property. You are solely responsible for your purchase decisions.

Eligibility criteria for the UAE Golden Visa and any other residency permit are set exclusively by UAE federal and emirate authorities and may change at any time without notice. The purchase of property does not guarantee that a visa will be granted. IBC LLC does not provide immigration services, does not prepare or submit visa applications and makes no representation or warranty regarding the outcome of any application. Consult a licensed immigration professional.

Any reservation, sale and purchase agreement, payment plan, payment or other transaction is entered into solely between you and the developer under the laws and property regulations of the relevant emirate. IBC LLC is not a party to any such agreement and is not responsible or liable for the acts or omissions of any developer, including its marketing materials, pricing, construction quality, delays, changes to a project, cancellation, refunds, escrow arrangements, completion, handover, service charges, defects, title registration or resale. Your rights and remedies in respect of any property lie solely against the developer under its contract and the applicable law and regulator (for example the Dubai Land Department and RERA in Dubai). You must read and understand all developer documents, verify the developer's registration and escrow account with the relevant authority, and obtain independent legal advice before signing or paying anything.

IBC LLC never requests, accepts, receives or holds any payment, deposit, reservation fee, booking amount or funds of any kind from buyers, in any currency, by any method. All payments must be made only to the developer's official, government-registered escrow or project account, the details of which you must verify directly with the developer and with the relevant regulatory authority before paying. Any request for payment to any other account, including one that purports to come from IBC LLC, its staff or its representatives, is fraudulent. Do not pay, and report it to us immediately at [email protected]. IBC LLC is not liable for any loss arising from payments you make to any person or account.

Our service is free to buyers. Developers may pay IBC LLC a referral fee on completed sales. This does not increase the price you pay; you pay the developer's published price. You acknowledge that the existence of such compensation may create an incentive for us to introduce you to developers who pay it, and that you remain free at all times to approach any developer directly or through any other channel. We will confirm on request whether a compensation arrangement exists with a particular developer.

By using our services you confirm that: you are at least 18 years old and legally capable of entering into contracts; all information you give us is true, accurate and complete and you will keep it updated; you are not, and are not acting for, any person subject to sanctions administered by the United States, the European Union, the United Kingdom, the United Nations, Switzerland or the UAE; any funds you use for a purchase are lawfully obtained; you will comply with all anti-money-laundering and know-your-customer requests made by developers and authorities; you will carry out your own due diligence and obtain your own independent legal, financial, tax and immigration advice; and you will use this website lawfully.

The purchase of UAE property by foreign nationals is subject to conditions set by each emirate, including designated freehold areas. This website is not directed at persons in any jurisdiction where its content or the activities described would be unlawful or require registration. You are solely responsible for compliance with the laws of your country of residence, including foreign exchange controls, tax reporting and disclosure obligations.

All content on this website, including text, layout, graphics and the IBC LLC name, is owned by or licensed to IBC LLC and protected by copyright and trademark law. Developer names, brochures, renderings, images and trademarks remain the property of their respective owners and are used for identification only. You may view and print content for personal, non-commercial use. You may not copy, reproduce, modify, distribute, scrape or commercially exploit any content without our written consent.

You must not: use this website for any unlawful purpose; submit false or misleading information; impersonate any person; introduce viruses, malware or harmful code; attempt to gain unauthorised access to our systems or data; scrape, harvest or data-mine the site; interfere with its operation; or send spam or unsolicited communications through it.

This website links to and uses third-party services including WhatsApp, developer websites and brochures. We do not control and are not responsible for their content, availability, accuracy or terms. Your use of them is at your own risk and subject to their own terms and privacy policies.

By providing your telephone number or email address, or by contacting us on WhatsApp, you consent to our contacting you by those channels about your enquiry and about projects matching the criteria you gave us. Standard carrier or data charges may apply. You may opt out at any time by replying STOP or emailing us. WhatsApp communications are governed by Meta's terms. We are not responsible for delayed, undelivered or intercepted messages outside our control.

This website and our services are provided "as is" and "as available". To the fullest extent permitted by law, IBC LLC disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, timeliness and uninterrupted or error-free operation.

To the fullest extent permitted by law, IBC LLC and its members, managers, officers, employees, contractors and representatives shall not be liable for any indirect, incidental, consequential, special, punitive or exemplary damages, or for any loss of profit, revenue, income, opportunity, data or goodwill, arising out of or in connection with: your use of or inability to use this website; your reliance on any information provided by us; any transaction or dealing with a developer; any delay, cancellation or change to any project; any change in law, tax or visa rules; currency fluctuation; refusal of any visa or permit; or any payment made by you to any person. Because our service is provided to you free of charge, our total aggregate liability to you for all claims shall not exceed one hundred United States dollars (USD 100) or the minimum amount permitted by applicable law, whichever is greater. Some jurisdictions do not permit the exclusion or limitation of certain liabilities; in those jurisdictions our liability is limited to the maximum extent permitted. Nothing in these Terms excludes liability for fraud, or any liability that cannot be excluded or limited by law.

You agree to indemnify, defend and hold harmless IBC LLC and its members, managers, officers, employees, contractors and representatives from and against all claims, liabilities, damages, losses, costs and expenses (including reasonable legal fees) arising out of or related to your breach of these Terms, your misuse of this website, your violation of any law or third-party right, or any transaction between you and a developer.

These Terms are governed by the laws of the State of Wyoming, United States of America, without regard to its conflict-of-laws principles. Before commencing any legal proceedings, you agree to notify us in writing at [email protected] and to attempt in good faith to resolve the dispute for a period of 30 days. Any dispute not resolved shall be subject to the exclusive jurisdiction of the state and federal courts located in the State of Wyoming, and you consent to the personal jurisdiction of those courts. To the extent permitted by law, you agree that any claim will be brought in your individual capacity and not as a plaintiff or class member in any purported class or representative proceeding. Nothing in this clause deprives you of the protection of mandatory consumer laws of your country of residence that cannot be waived by agreement.

We may revise these Terms at any time by posting the updated version on this page with a new effective date. Your continued use of the website or our services after the change constitutes acceptance of the revised Terms.

If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force. Our failure to enforce any right is not a waiver of it. These Terms and our Privacy Policy constitute the entire agreement between you and IBC LLC regarding the website and our services and supersede any prior understanding. You may not assign your rights under these Terms; we may assign ours to a successor. These Terms confer no rights on any third party. We are not liable for any failure or delay caused by events beyond our reasonable control. Section headings are for convenience only. In the event of any conflict between these Terms and any translation, the English version prevails.
